ESPN had an excellent explanation of the rule for this situation. Normally if 2 eligible receivers take simultaneous possession of the ball (i.e. they both catch it at the same time) the catch goes in favor of the offense. However, if one of the receivers establish possession first and then the second receiver gets joined possession of the football, then the catch goes in the favor of the first receiver. That's exactly what happened with Jennings getting possession of the ball first.
Also, good call by McCarthy about not commenting on the refs. The league really can't say anything to him now.
